True North M&A matches specific client requirements with acquisition targets. We represent the buyer, and they pay our fee; the seller does not pay for our services.

TNMA’s Buy-Side Comprehensive Process

  1. Clarify Strategy: We meet with our client to review and refine their strategy, ideal acquisition profile, and transaction objectives.
  2. Identify Universe: We conduct extensive industry and market research to identify acquisition targets using multiple search methods and data resources, uncovering opportunities not listed on the open market.
  3. Target Selection: We systematically target acquisition candidates that fit your criteria.
  4. Confidential Marketing: We will develop all pertinent marketing and informational documents to support the acquisition support process.
  5. Deal Sourcing: A multi-tier outreach and screening process puts you in front of motivated sellers, saving you significant time.
  6. Business Price Option: We build a financial model using the target’s financial history and perform a valuation using industry data to determine a fair price for both buyer and seller. Our analysis includes properly adjusting EBITDA and calculating a normalized net working capital allowance.
  7. Pre-Due Diligence: We collect information on a target’s business operations, financial performance, transaction interests, and timeline.
  8. Making an Offer: We assist our clients by helping them develop a Letter of Intent (LOI) that helps them secure an optimum deal (price/terms/structure) with several options.
  9. Negotiation: We work alongside our client and negotiate on their behalf. Our reverse auction process results in lower prices, higher value, and better terms.
  10. Due Diligence & Closing: We work with our client’s legal and financial advisory teams via a secure data room to confidentially facilitate due diligence and finalize documentation to keep the deal on track.
